User Service Agreement

Acceptance of Terms

By creating an account, accessing, or using SellAnyBiz.com/SellAnyBiz.ai, you ("the User") agree to be bound by this User Agreement. This agreement is a legally binding contract between the User and Sell Any Biz USA, LLC.

Scope of Services

SellAnyBiz.com/SellAnyBiz.ai acts strictly as a facilitator for Business Marketplaces, Funding, Company Formation, and Brokerage connections. Sell Any Biz, LLC is not a party to any transaction between buyers and sellers unless explicitly stated in a separate written contract.

No Liability for Listings & Data (The "Investor Disclaimer")

• No Verification: Sell Any Biz USA, LLC does not audit, verify, or guarantee the accuracy of any listing, financial statement, or business claim made on the platform.
• "As-Is" Basis: All listings are provided on an "as-is" and "as-available" basis.
• Assumption of Risk: Investors and Buyers acknowledge that buying a business involves significant risk. By using this App, you agree that Sell Any Biz, LLC is not responsible for any financial loss, failed investment, or misrepresentation made by a seller or third party.
• Mandatory Valuation: It is the sole responsibility of the Buyer/Investor to conduct their own independent legal, financial, and professional valuation before committing to any purchase or investment.

No Fiduciary Duty

Unless you have signed a specific "Broker-Client Agreement" within the app, Sell Any Biz USA, LLC does not act as your agent, fiduciary, or advisor. We do not recommend one business over another.

In-App Contract Execution (Electronic Signatures)

The App facilitates the execution of supplemental legal documents (e.g., NDAs, Brokerage Agreements).

• Binding Nature: Digital signatures or "Accept" actions performed within the App are legally binding under the U.S. ESIGN Act.
• Independent Contracts: Contracts signed between users (e.g., a Buyer and a Broker) are independent of Sell Any Biz USA, LLC.

Release of Claims

By using the platform, you hereby release Sell Any Biz USA, LLC, its officers, directors, and employees from any and all claims, demands, and damages (actual and consequential) arising out of or in any way connected with disputes between users of the App.

Intellectual Property

All software, code, and branding associated with SellAnyBiz.com/SellAnyBiz.ai are the exclusive property of Sell Any Biz USA, LLC.

Governing Law & Jurisdiction

This Agreement is governed by the laws of the United States and the specific state of registration for Sell Any Biz, LLC USA. Any disputes shall be resolved in the courts of that jurisdiction.

Limitation of Liability

To the maximum extent permitted by law, Sell Any Biz USA, LLC's total liability for any claim arising out of the use of the App shall not exceed the total amount of fees paid by the User to the App in the 12 months prior to the claim.

Brokerage & Commissions

• Platform Role: Sell Any Biz USA, LLC is a technology provider and is not a party to any commission agreements between Buyers, Sellers, and Brokers unless explicitly stated.
• Fee Disclosure: All commissions (Seller-paid or Buyer-paid) must be disclosed within the app.
